Terms of Engagement

Applicability: Commercial Advisory, Platform Licensing & Specialist Delivery • Updated: October 2026

1. Commercial Interface Structure

Mastriva operates as the designated commercial, channel, and client coordination interface. All advisory scopes, discovery workshops, master service agreements (MSAs), and statement of works (SOWs) are structured through Mastriva. Technology platforms, intellectual property, software licensing, and forward-deployed engineering are provisioned via our technology partner, Aliph Solutions.

2. Customer-Controlled Boundary & Data Ownership

Client retains 100% legal and operational ownership over all data, enterprise documents, database schemas, and ERP financial records ingested into or processed by the platforms.

Key Guarantee: Neither Mastriva nor Aliph Solutions claims any proprietary interest in client information. Under no circumstances is client confidential data utilized to train or fine-tune public multi-tenant foundation models.

3. Decision Rights & Human Authority Boundary

As codified in our operating model (slide 10 of Corporate Profile):

  • Governance follows the work, while decision rights remain with accountable people.
  • Agents are restricted to delegable tasks: semantic retrieval, quantitative variance analysis, and draft reporting.
  • Consequential actions (e.g. fund transfers, disciplinary measures, statutory audit workpaper approvals, regulatory filings) require explicit verification and sign-off by a named human approver with recorded authority.
  • Management owns policies and controls; appointed statutory audit and board assurance authorities retain their mandates.

4. Intellectual Property & Standards

Aliph Solutions retains sole ownership of all pre-existing platforms, algorithms, source code, and authored standards, including the SOM-1:2026 Organizational Memory Standard, AliphChat, Policy Vault, and Enterprise Risk Cockpits. Client is granted a non-exclusive, enterprise-wide license for use within the agreed scope.

5. Governing Law & Dispute Resolution

These terms and any bilateral commercial engagements shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with enterprise agreements shall be settled exclusively before the competent Commercial Courts in Riyadh.
